Miinty Client Agreement
Miinty, powered by Criby LLC
| Between Miinty, powered by Criby LLC | and the business named at checkout |
This agreement is between Miinty, powered by Criby LLC (Criby LLC, a Wyoming limited liability company doing business as Miinty), of 200 Carolina Ave, Unit 2310, Fort Myers Beach, FL 33931 ("Miinty", "we", "us"), and the business named at checkout, of the billing address on your card ("you"). If you bought online at miinty.com, this agreement starts when you accept it at checkout and your deposit payment succeeds; taking your deposit is our acceptance. If we sent you this agreement to sign, it starts on the day the last of us signs it.
It has two parts: these terms, and "Your details" below, which is your order. Together they are the whole agreement. If anything is unclear, ask us before you accept or sign.
Your details
| Website | The standard Miinty website package, $797 one time |
| Add-ons | None |
| One-time total | $797 |
| Deposit at the start | $398.50 |
| Balance at launch | $398.50 |
| Monthly from launch | Hosting & Care at $49 per month |
| Your trade | as you tell us in the intake questions |
| Service area | as you tell us in the intake questions |
1. What you're buying
- One website. The standard Miinty website package, built for you and launched on your own domain. What the package includes is the written scope Miinty publishes for it on the day you sign, shown on your order.
- Add-ons, only if listed. Any add-ons named in "Your details", each from Miinty's fixed add-on menu at its menu price. Nothing is an add-on unless it is listed there.
- A monthly plan from launch. Hosting & Care is required while we host your site. You may choose AI Visibility or Local SEO instead. Each of these includes the one before it, so you pay one monthly plan fee, plus the monthly fee of any add-on that has one.
- Anything else is custom. Work that isn't in the package, a listed add-on or your monthly plan is quoted first and started only once you agree in writing (email is fine).
The plan names describe the kind of work, not a result. Nothing in this agreement guarantees booked jobs, search rankings, AI placement, or any number of leads, calls or dollars of revenue (see section 5). We don't sell leads: calls arrive on your own website, Google profile and phone number. We'll do the work carefully and professionally.
2. What it costs
- The website. The one-time total in "Your details": the package at $797 plus any add-ons. You pay 50% as a deposit when this agreement starts, and the balance at launch. The balance is the only amount the guarantee in section 4 can reduce.
- Your monthly plan. Hosting & Care is $49 a month, AI Visibility is $199 a month and Local SEO is $299 a month. An add-on with a monthly fee adds it to your monthly total. Your plan, any monthly add-ons and the total are in "Your details". It all starts on launch day and is billed each month in advance, the first month with the balance. An add-on's menu description, including what it includes and any usage charge beyond that, is part of your order.
- If you bought online at miinty.com. You pay the deposit by card at checkout, and Stripe keeps the card for us; we never see the full number. When your site goes live, we charge that card the balance, less any reduction under section 4, and your monthly plan that day and then each month in advance. You get a receipt for every charge. If a charge doesn't go through, we email you an invoice instead. To change the card or cancel the monthly, email help@miinty.com (section 7).
- If we sent you this agreement to sign. We send each invoice by email, and you pay online through the link in it (card payments are processed by Stripe) by the date it shows. We don't keep your card on file or charge it automatically. The deposit invoice is sent only after we have both signed, including the separate automatic-renewal box at the end. In Colombia, you may instead pay any invoice by bank transfer or Nequi transfer to the account shown on the invoice; it counts as paid when the money arrives.
- Not included. Outside costs, such as a domain you don't already own, a booking or payment provider's own fees, carrier fees or ad budgets, are yours. We tell you about them first and never mark them up.
- Late payment. An invoice still unpaid 10 days after its due date carries a late charge of 1.5% a month on the overdue amount, or the highest rate the law allows if that is lower. If an invoice stays unpaid, we may pause the work after telling you. Paused days don't count against our deadlines, and we restart once you're paid up.
- No refunds. Nothing you pay is refunded, and monthly fees aren't split for part-months. The guarantee in section 4 reduces what you still owe at launch; it never pays money back.
- Price changes. Your one-time total is fixed when this agreement starts. A monthly fee changes only with at least 30 days' notice by email, and never during your first 90 days after launch. You can cancel before a new price starts.
- Taxes. Prices exclude sales and similar taxes on our services, which you pay.
3. When it starts and how long it runs
- The 14-day website clock starts on the later of: the day you pay the deposit, and the day you've sent us the content and access listed in section 6. Not the day you sign.
- The clock pauses day for day while we're waiting on you, and while we're waiting on an outside company to act on your accounts: a booking system, a payment provider, Meta, or Google verifying your business. We tell you when a pause starts and why.
- Launch is the day your site is live, as section 4 defines it. The balance and your monthly plan both start that day.
- After launch your monthly plan runs month to month until you or we cancel (section 7). AI Visibility and Local SEO have a first term of 90 days from the day they start.
4. Our speed guarantee
The Site Performance Guarantee makes two promises at launch, and one after. "Business days" means Monday to Friday, not counting US federal holidays. The "site fee" is the package price, $797, not counting add-ons.
Live on time. Your site will be live within 14 calendar days of the clock starting, plus any days paused under section 3. "Live" means on your own domain and open to the public, with the package's pages up, and tap-to-call and the quote or contact form working.
- If we launch late for reasons on our side (days we wait on you don't count), we have a grace period of 5 business days. After that, your balance drops 10% of the site fee for each full week late, up to 50% of the site fee.
- We take it off your balance before we charge or invoice it; you don't have to ask.
- Rush launch. If Rush launch is in "Your details", the deadline is 5 business days from the clock starting instead of 14 calendar days; the same grace period, 10% a week and 50% cap apply.
Fast at launch. Your home page will score 90 or more on Google's own tool, PageSpeed Insights, using its mobile setting and its Performance score. We measure on launch day and show you the result. A measurement that doesn't finish counts as neither a pass nor a fail; we measure again.
- If your site scores under 90 on Google's mobile speed test at launch, we keep fixing it at no cost until it passes. A slow site doesn't change your balance: the fix is the remedy.
After launch. While we host your site, we check the same score every month and show you the result. If it drops under 90, we fix it within 10 business days. There is no credit for a monthly check. The fix is the remedy.
The rules for the late-launch reduction
- A reduction comes off the balance and nothing else. It is never paid in cash, never refunded, and never comes off the deposit or a monthly fee. There is no money back.
- We work out the reduction and show it on the balance receipt or invoice.
- If you think the reduction is missing or wrong, tell us by email at help@miinty.com within 30 days of the balance receipt or invoice (for an invoice, before you pay it). A later claim doesn't count.
- This reduction and our fixes are your only remedy if we miss this guarantee.
- Your deposit must be paid. No reduction is due while an invoice you don't dispute is overdue.
- The pauses in section 3 pause the 14 days and the 5 business days, day for day.
- Exclusions. We don't owe the speed fix, at launch or after, when the score is under 90 because of: (a) outside scripts you ask us to keep, such as a chat widget, booking or payment embed, ad pixel or CRM embed, where removing them would fix the score and you tell us in writing to keep them; (b) photos or video served from your own systems that we aren't allowed to shrink or move; or (c) any time you've blocked our access to something we need for the fix.
In dollars, at the package price
| If we miss | Your balance goes down by |
|---|---|
| Live on time | $79.70 for each full week late after the 5-business-day grace period, up to $398.50 |
| Fast at launch | Nothing: we keep fixing it at no cost until it passes |
5. What we don't promise
- We don't guarantee booked jobs (you control whether the phone gets answered), search rankings or AI placement. We also don't guarantee any number of leads, calls, visitors or dollars of revenue. Those depend on things we don't control, such as Google, your prices, your capacity, and who answers the phone.
- Google, Meta and other platforms make their own decisions, such as verifications, approvals and suspensions. We aren't responsible for those or their outages unless we caused them through serious carelessness or on purpose.
- Accessibility. We design to the WCAG 2.1 AA guidelines as a target, but don't promise your site is or will stay "ADA compliant". Content you add later is your responsibility.
- Nothing else is promised. Apart from this agreement, we make no other promises, stated or implied.
6. Your part
- Content and access within 5 business days of your deposit. Content: logos, photos, license number, services, service area and intake answers. Access: manager access to your Google Business Profile, domain and current website, plus any booking, payment or other account an add-on connects to, and keep those accounts in good standing. We never need your email password; anything that needs a password is shared through a secure vault link, never by email.
- Approvals within 5 business days. If you don't raise a specific objection in writing within 5 business days of our request, the item counts as approved.
- Your delays pause our dates. While we're waiting on you, every date that depends on it (including the 14-day clock and the guarantee windows) moves back day for day. We'll tell you when a pause starts.
- True facts. The facts, prices, licenses and offers you give us or approve must be true, and you hold the licenses and insurance your business needs.
7. Cancelling
- How. Email help@miinty.com at any time. No phone call, no retention process. We confirm by email with the date it takes effect.
- Hosting & Care. Month to month from launch. Cancelling takes effect 30 days after we receive your email.
- AI Visibility and Local SEO. A first term of 90 days from the day the plan starts, then month to month. Cancelling takes effect on the later of: 30 days after we receive your email, or the end of the first term. You can step down to Hosting & Care the same way.
- Add-ons with a monthly fee. Month to month from launch. Cancelling takes effect 30 days after we receive your email.
- What you pay. No charge or invoice for a month that starts on or after the date it takes effect. Months that started before it are owed in full.
- Before launch. If you cancel before launch, the deposit isn't refunded and no balance is owed. The unfinished build stays ours unless you pay the balance.
- We can cancel the same way, with the same notice.
- Serious breach. Either of us can end the agreement early if the other seriously breaks it and doesn't fix it within 30 days of written notice (10 days for an unpaid invoice).
When hosting ends:
- You pay what's owed up to the end date.
- If your account is paid up, within 15 days we hand over everything that's yours: domain, site code and files, content, logins and an export of your data, so you can host the site anywhere. We may hold the handover while money is owed, but never claim to own any of it.
- You keep your Google Business Profile and every account in your name. We remove our access.
- For 30 days after the end date you can ask for further exports of your data. After that we may delete it, except what the law requires us to keep.
8. Who owns what
- Your site is yours once paid. When you've paid the deposit and the balance, you own the finished site: its code, pages, content and designs. Your domain, content, logins and data are yours from the start, and they all leave with you. A later late payment doesn't take back what you've paid for.
- Our tools stay ours. We keep our software, templates, components and methods. Where a reusable piece of ours is built into your site, you get a permanent, free right to keep using it there. Outside pieces (plugins, fonts, stock photos) stay under their owners' licenses; we tell you about any with an ongoing fee.
- The free concept. Before you buy, we may offer you a free concept of what your new site could look like: a private preview link to your concept, open for 7 days, no obligation. We prepare it on a best-efforts basis. It is only for you to evaluate us. It is not part of what you're buying or a promise to build it, and its forms, buttons and phone links are demonstrations, not working services. You get no rights in the concept unless this agreement starts and you pay the deposit, and then only in the parts we build into your site, which you own once paid.
9. The legal bits
- Confidentiality. We each use the other's non-public information only for this agreement, protect it with reasonable care, and share it only with people who need it and must keep it confidential, and return or delete it when the agreement ends. Public information, and what the law requires us to disclose, are not covered.
- Your data. We each handle personal data lawfully. We use your data only to deliver our services to you, never sell it, and take reasonable measures to keep it secure.
- No exclusivity. We may work with other businesses, including ones in your trade and area.
- Independent businesses. Neither of us can bind the other.
- Limits on liability. Neither of us is liable to the other for lost profits, lost revenue, lost data or other indirect or consequential losses. Each side's total liability under this agreement is capped at the total fees you paid us in the 12 months before the claim. These limits don't apply to fees you owe us, to breaking the confidentiality terms, to the indemnities below, or to harm caused by serious carelessness or on purpose.
- Indemnity. If someone else makes a claim against us because of materials, logins or instructions you gave us, or because of how you run your business (your prices, licenses, advertising claims or treatment of your customers), you'll cover our reasonable costs of defending it and any amount we're ordered to pay. If someone claims that work we created for you infringes their intellectual property, we'll do the same for you; that doesn't cover your own materials or third-party tools. Whoever faces the claim tells the other promptly and lets them run the defense. Insurance. Neither of us is required to carry insurance for this agreement.
- Personal guaranty. None. Only the business named above is responsible under this agreement.
- Governing law and disputes. Wyoming law governs this agreement, without regard to its conflict-of-law rules. Before either of us goes to court, we'll try in good faith for 30 days, after notice by email, to settle the dispute. Either of us may use small-claims court. Otherwise disputes go to the state or federal courts for the county where Miinty's principal office is, and we both accept those courts' jurisdiction.
- Notices are by email: to us at help@miinty.com, to you at the email on your account.
- Transfers. You need our written OK to transfer this; we may transfer it with our business.
- Beyond our control. Neither of us is liable for delays beyond our control, except in paying.
- The whole agreement. This replaces all earlier proposals, calls and concepts. Changes need both of us to agree in writing (email is fine for scope). If any part is unenforceable, the rest still applies. An electronic signature counts the same as ink.
Automatic renewal: your separate consent
I understand that from launch day my monthly plan, Hosting & Care, continues month to month at $49 per month, billed in advance each month, until I cancel. I can cancel at any time by emailing help@miinty.com. Cancellation takes effect 30 days after my email or, for AI Visibility or Local SEO, at the end of its 90-day first term, whichever is later. Miinty will give me at least 30 days' notice of any price change.
☐ I agree to automatic renewal. You agree to this with the tick box at checkout.
